Megaupload has in the past on many occasions removed copyrighted material from there servers based on copyright claims.. Which is the perfect lawful thing to do since it's up to the copyright owner to make the claim. You can't hold Megaupload responsible for holding files nobody has made a claim against, instead it is the user's responsibility who uploaded to the site, and everyone who downloaded from it. It's a case of "lack of manpower". Megaupload didn't have enough manpower to remove all copyrighted materials (hardly surprising considering how popular it was), and the USA not having enough manpower to jail every person who has ever downloaded/uploaded to Megaupload. His business was completely legitimate, how people used it was illegitimate. And they actually are responsible for their own services.
